These Terms of Use (“Terms”) govern your access to and use of the website located at ail3tech.com (the “Site”), operated by AI L3 Tech, an Illinois corporation (“AI L3 Tech,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the Site.

These Terms apply to the Site only. Any escalation support, engineering, or other professional services we provide to clients are governed by a separate written services agreement between AI L3 Tech and the client. If there is a conflict between these Terms and a signed services agreement, the services agreement controls with respect to those services.

1. Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms. You agree that you will not:

• Use the Site in any way that violates any applicable federal, state, local, or international law or regulation;
• Attempt to gain unauthorized access to, interfere with, damage, or disrupt any part of the Site, the server on which the Site is hosted, or any server, computer, or database connected to the Site;
• Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our prior written consent, except that standard search engine indexing is permitted;
• Introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful;
• Impersonate or attempt to impersonate AI L3 Tech, an AI L3 Tech employee, or any other person or entity;
• Use the Site to send unsolicited commercial communications; or
• Copy, reproduce, republish, or redistribute any part of the Site or its content except as expressly permitted in Section 2.

We may suspend or terminate your access to the Site at any time, without notice, for any conduct that we believe violates these Terms or is otherwise harmful to us or to other users of the Site.

The Site and its entire contents, features, and functionality, including all text, graphics, logos, images, page designs, and the selection and arrangement thereof, are owned by AI L3 Tech or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

“AI L3 Tech,” “AI L3 Tech,” and the AI L3 Tech logo are trademarks of AI L3 Tech. You may not use these marks without our prior written permission.

You may view, download, and print pages from the Site for your own internal business evaluation of our services, provided that you do not modify the materials, remove any copyright or proprietary notices, or use the materials for any commercial purpose other than evaluating whether to engage AI L3 Tech. All other rights are reserved.

3. Information on the Site Is Not Advice

The content on the Site is provided for general informational purposes only. It does not constitute technical, professional, or legal advice, and it does not create any service relationship between you and AI L3 Tech. Descriptions of our services, response targets, and capabilities on the Site are general in nature; the services actually delivered to any client are defined exclusively by that client’s signed services agreement.

If you submit information to us through the Site, for example, through a contact form, a booking form, or by email, you represent that the information you provide is accurate and that you are authorized to provide it. Our handling of personal information submitted through the Site is described in our Privacy Policy.

Any ideas, suggestions, or feedback you voluntarily submit to us about our services or the Site may be used by us without restriction or compensation to you, except for personal information, which will be handled in accordance with our Privacy Policy.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY CONTENT ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL AI L3 Tech TECH, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. For the avoidance of doubt, nothing in this Section 7 limits any liability of AI L3 Tech under a signed services agreement, which is governed by the terms of that agreement.

8. Indemnification

You agree to indemnify, defend, and hold harmless AI L3 Tech and its directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your misuse of the Site.

9. Governing Law and Venue

These Terms and any dispute arising out of or related to the Site are governed by the laws of the State of Illinois, without regard to its conflict-of-law principles. Any legal action or proceeding arising out of or related to these Terms or the Site shall be brought exclusively in the state or federal courts located in Illinois, and you consent to the personal jurisdiction of those courts.

10. Changes to These Terms

We may revise these Terms from time to time. The revised Terms will be posted on this page with an updated effective date. Your continued use of the Site after revised Terms are posted constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.

11. Severability; Waiver; Entire Agreement

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision of these Terms is not a waiver of that provision. These Terms, together with our Privacy Policy, constitute the entire agreement between you and AI L3 Tech regarding your use of the Site.
